TERMS AND CONDITIONS

This Terms and Conditions (the “Agreement”) is between You and Powerhaus Pilates LLC (“Powerhaus Pilates”). Below are the terms of this Agreement to set forth the details of engaging with Powerhaus Pilates in the various programs and services. By using the Sites, as defined below, the Parties agree to the following:
1. DESCRIPTION OF SERVICES: The Powerhaus Pilates brand includes but is not limited to a website and mobile application; social media platforms, and other distribution platforms (the “Sites”) operated by Powerhaus Pilates. This Agreement is applicable to all users of Powerhaus Pilates through its “Website” and related domain and sub domains (individually and collectively the “Services”). These Terms govern your use of the Powerhaus Pilates Sites, Services, including all functionalities, features, user interfaces, and all content and software associated with the Services as provided by Powerhaus Pilates.
2. ACCEPTANCE OF TERMS: The Sites are offered to You conditioned on your acceptance without modification of the terms, conditions, and notices contained herein. Your use of the Sites and Services, as defined below, constitutes your agreement to all such terms, conditions, and notices. Powerhaus Pilates has the right, at its sole discretion, to modify, add, or remove any terms or conditions without notice or liability to you. Any changes shall be effective immediately; You may see the most recent changes and version of this Agreement as noted by the date at the top. You agree to review these changes from time to time and agree that any subsequent use by you of the Sites and Services following the changes shall constitute your acceptance of such change.
3. USE OF THE SITES AND SERVICES: Powerhaus Pilates grants You a limited, non-exclusive license to access and use the Sites for your own personal and non-commercial purposes. You agree to (1) provide true, accurate, current and complete information about yourself as prompted by the registration form available on our Sites; and (2) maintain and promptly update your information to keep it true, accurate, current and complete. If You provide any information that is untrue, inaccurate, not current or incomplete, or there are reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, Powerhaus Pilates reserves the right to suspend or terminate your account and refuse any and all current or future use of the Service (or any portion thereof) at any time.
You may not use the Service for commercial purposes except as agreed upon with Powerhaus Pilates. This includes rights to view content on the Website and App. The Sites are not directed at those under eighteen years of age. By providing information about yourself to Powerhaus Pilates You are representing and attesting that You are eighteen years of age.
4. USER INFORMATION; PASSWORD AND SECURITY: You are solely responsible for the information You input or upload to the Sites and Services, including information submitted through blog comment features, contact forms, or feedback submission forms, and represent and warrant that You have the right and authorization to register for the Sites and Services. Powerhaus Pilates reserves the right in its sole discretion to decide whether the information You input, or upload is appropriate and complies with the terms of this Agreement, other Powerhaus Pilates policies, and applicable laws and regulations. You warrant and represent that all such information is current and accurate, and will be kept up-to-date. Your Privacy Rights are set forth in our Privacy Policy.
5. LINKS TO THIRD PARTY WEBSITES: The Sites may contain links to other websites (the “Linked Sites”). The Linked Sites are not under the control of Powerhaus Pilates, and Powerhaus Pilates is not responsible for the contents of any Linked Site, including without limitation any link contained in a Linked Site, or any changes or updates to a Linked Site. Powerhaus Pilates is providing these links to you only as a convenience, and the inclusion of any link does not imply endorsement by Powerhaus Pilates of the site or any association with its operators.
6. USER CONDUCT: As a condition of your use of the Sites, You warrant to Powerhaus Pilates that you will not use the Sites for any purpose that is unlawful or prohibited by these terms, conditions, and notices. The Services may be used only for lawful purposes relating to streaming and related materials. Powerhaus Pilates specifically prohibits any use of the Services, and all users agree not to use the Services, for any purposes other than designated by the Powerhaus Pilates.
You may not use the Sites in any manner that could damage, disable, overburden, or impair the Sites or interfere with any other party’s use and enjoyment of the Sites. You may not send automated queries of any sort to the Sites without express permission in advance from Powerhaus Pilates. Similarly, you are not allowed to copy, create a derivative work of, reverse engineer, reverse assemble, or otherwise attempt to discover any source code of, or modify the Sites in any manner. Violations of system or network security or inappropriate conduct may result in civil or criminal liability. Powerhaus Pilates will investigate occurrences that may involve such violations and may involve and cooperate with law enforcement entities in prosecuting users who are involved in such violations.
The Sites may include interactive features such as blog comment sections, community features, or feedback submission forms. When posting comments or submitting content, You agree not to post or transmit any content that is unlawful, defamatory, obscene, harassing, infringing, mislea
ding, or otherwise objectionable. You further agree not to submit confidential or sensitive information through public areas of the Sites.
Powerhaus Pilates reserves the right, but not the obligation, to monitor, review, edit, or remove user-submitted content at its sole discretion.
6.1 USER GENERATED CONTENT: If You submit, post, or display any comments, feedback, testimonials, suggestions, ideas, or other content on or through the Sites (collectively, “User Content”), You grant Powerhaus Pilates a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, sublicensable license to use, reproduce, modify, publish, distribute, display, and otherwise exploit such User Content in connection with the operation, promotion, and marketing of the Services.
You represent and warrant that You own or have the necessary rights to submit such User Content and that Your submission does not violate the rights of any third party.
Any feedback, suggestions, or ideas submitted to Powerhaus Pilates through the Sites shall be deemed non-confidential and non-proprietary unless otherwise agreed in writing. Powerhaus Pilates shall be free to use such information without restriction or compensation to You.
7. INTELLECTUAL PROPERTY: The Services are the sole and exclusive property of Powerhaus Pilates and are protected by copyright, trademark, and other intellectual property common and statutory laws of the United States and other countries.
7.1 COPYRIGHTED CONSENT: You may not sell or modify the Services content or the Services, or reproduce, display, publicly perform, distribute, or otherwise use the Services in any way for any purpose. The content and materials are being provided to You for your individual use only and with a single-user license; this means that You are not allowed or authorized to share, copy, sell, post, distribute, reproduce, duplicate, trade, resell, exploit, or otherwise disseminate any portion of the Sites and Services, or related materials, electronically or otherwise, for business or commercial use, or in any other way that earns You money, without express, prior written consent.
By agree to these, You agree to the above terms, and understand that Powerhaus Pilates’s and the Sites materials are protected by the United States Intellectual Property laws, including the Copyright Act of 1976. You understand and agree that violating the terms of this Agreement may subject You to legal action and that Powerhaus Pilates will fully pursue all remedies at law against You to which it is entitled.
7.2 TRADEMARKS, NAMES, LOGOS: All trademarks, names, and logos used on the Sites or delivered via the Services are either owned by Powerhaus Pilates or a use right has been granted to Powerhaus Pilates. Your use of the Services and Sites does not allow you to infringe those rights or the rights of the third parties that may exist in material contained in the Sites. No license is expressly impliedly granted within or as a result of your use of the Sites or Services. Without the prior permission of Powerhaus Pilates, except in the utilization of our widgets or mobile applications, you agree not to display or use in any manner, any of the trademarks, names, and logo featured on the Sites for which you do not have personal rights.
7.3 COPYRIGHT INFRINGEMENT NOTICE: If you believe that any copyrighted work is accessible through the Services in a way that constitutes copyright infringement, please notify Powerhaus Pilates by providing our designated copyright agent with the following information:
The physical or electronic signature of either the copyright owner or of a person authorized to act on the owner's behalf;
A description of the copyrighted work You claim has been infringed, and a description of the activity that you claim to be infringing;
Identification of the URL or other specific location on the Services where the material or activity you claim to be infringing is located or is occurring; You must include enough information to allow us to locate the material or the activity;
Your name, address, telephone number, and e-mail address;
A statement by You, made under penalty of perjury, that (i) the information You have provided is accurate and that You are the copyright owner or are authorized to act on behalf of the owner of an exclusive right that is allegedly infringed; and (ii) You have a good faith belief that use of the copyrighted materials is not authorized by the copyright owner, any agent of the copyright owner, or the law.
If You believe in good faith that a notice of copyright infringement has been wrongly filed against, You can send the Company a counter-notice that includes the following:
Your name and address, and telephone number;
The source address of the removed content;
A statement under penalty of perjury that You have a good faith belief that the content was removed in error; and
A statement that You consent to the jurisdiction of Federal District Court for the judicial district in which your address is located, or if your address is outside of the United States, for any judicial district in which the Website may be found, and that you will accept service of process from the person who provided the original complaint.
Please note that the United States Copyright Act prohibits the submission of a false or materially misleading Notice or Counter-Notice, and any such submission may result in liabilities, including perjury.
8. LIABILITY OF DISCLAIMER: THE INFORMATION, SOFTWARE, PRODUCTS, AND SERVICES INCLUDED IN OR AVAILABLE THROUGH THE SITES MAY INCLUDE INACCURACIES. CHANGES ARE PERIODICALLY ADDED TO THE INFORMATION HEREIN. POWERHAUS PILATES MAY MAKE IMPROVEMENTS AND/OR CHANGES IN THE SITES AT ANY TIME.
CONTENT PUBLISHED ON THE BLOG OR OTHER INFORMATIONAL AREAS OF THE SITES IS PROVIDED FOR GENERAL INFORMATIONAL AND EDUCATIONAL PURPOSES ONLY AND SHOULD NOT BE RELIED UPON AS MEDICAL, FITNESS, HEALTH, OR PROFESSIONAL ADVICE. PARTICIPATION IN PILATES, FITNESS PROGRAMS, OR RELATED SERVICES CARRIES INHERENT RISKS. YOU ACKNOWLEDGE AND AGREE THAT YOU ARE RESPONSIBLE FOR CONSULTING WITH A QUALIFIED MEDICAL PROFESSIONAL BEFORE BEGINNING ANY EXERCISE PROGRAM.
POWERHAUS PILATES MAKE NO REPRESENTATIONS ABOUT THE SUITABILITY, RELIABILITY, AVAILABILITY, TIMELINESS, AND ACCURACY OF THE INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS CONTAINED ON THE SITES FOR ANY PURPOSE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALL SUCH INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS ARE PROVIDED “AS IS” WITHOUT WARRANTY OR CONDITION OF ANY KIND. Powerhaus Pilates DISCLAIMS ALL WARRANTIES AND CONDITIONS WITH REGARD TO THIS INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS, INCLUDING ALL IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, OF POWERHAUS PILATES FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL Powerhaus Pilates BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL DAMAGES OR ANY DAMAGES WHATSOEVER INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF USE, DATA OR PROFITS, ARISING OUT OF OR IN ANYWAY CONNECTED WITH THE USE OR PERFORMANCE OF THE SITES, WITH THE DELAY OR INABILITY TO USE THE SITES OR RELATED SERVICES, THE PROVISION OF OR FAILURE TO PROVIDE SERVICES, OR FOR ANY INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS OBTAINED THROUGH THE SITES, OR OTHERWISE ARISING OUT OF THE USE OF THE SITES, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, EVEN IF Powerhaus Pilates HAS BEEN ADVISED OF THE POSSIBILITY OF DAMAGES. BECAUSE SOME STATES/JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU. IF YOU ARE DISSATISFIED WITH ANY PORTION OF THE SITES, OR WITH ANY OF THESE TERMS OF USE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE SITES.
9. MODIFICATION, SUSPENSION, OR DISCONTINUATION OF SERVICES: Powerhaus Pilates reserves the right, in its sole discretion, to modify, update, suspend, restrict, or discontinue the Sites, Services, or any features or portions thereof, temporarily or permanently, at any time and for any reason, with or without notice. This includes, without limitation, content, functionality, availability, hours of operation, and access to certain features.
You agree that Powerhaus Pilates shall not be liable to You or to any third party for any modification, suspension, or discontinuation of the Sites or Services.

DESCRIPTION OF SERVICE: This Privacy Policy is intended to inform you, the user and client, about the information and data gathered by Powerhaus Pilates LLC, (“Powerhaus Pilates,” “us” or “we” interchangeably) when you use Powerhaus Pilates website, mobile applications, services and other distribution platforms (the “Sites”), how we collect your information, what information we collect, how we store your information, and to the degree your information may be used. Powerhaus Pilates takes your privacy seriously.
We do not sell your personal information in exchange for money. We may share personal information with certain trusted service providers and partners for business purposes described in this Privacy Policy, including providing our services, analytics, marketing communications (where permitted), customer support, payments, and security. Our Sites and associated communications from us may contain links to third-party sites, which are not subject to this Privacy Policy. We recommend that you read the privacy policy of any such sites that you visit. This Privacy Policy applies only to the Sites, as owned, and operated by Powerhaus Pilates.
1.1 CONSENT: By visiting our Sites, you acknowledge that you have read and understood this Privacy Policy. Where required by law, we will obtain your consent before placing non-essential cookies. You may withdraw your consent at any time by adjusting your cookie preferences. To access certain functionalities of the Sites, you will be required to register by providing certain information.
1.2 HOSTING PLATFORM: We may use third-party platforms and service providers to support our Sites and Services, including account login, communications, payment processing, analytics, marketing, scheduling, customer support, automation, and AI-powered tools. These service providers may process personal information on our behalf as our “service providers,” “processors,” or “operators” depending on your location. Current third-party providers may include: Momence, Stripe, Showit, Zapier, Google Analytics, and heat mapping and session replay tools. 1.3 WHAT THIS PRIVACY POLICY DOES NOT ADDRESS: This Privacy Policy does not address the data management process and policies of, and information usage policies of, other sites and/or integrations of which the Sites may be linked to, or on which a Powerhaus Pilates service utilizes. Furthermore, this Privacy Policy does not address the data management practices and policies of, and information usage policies of other sites to which the Site may link or integrate with, as it relates to those third-party site’s compliance with federal laws and regulations. Please note: third-party providers may act as independent controllers for their own purposes (for example, where you have your own account with them). DATA COLLECTION & USE: We collect personal information in the following ways: (a) Information you provide directly (for example during registration, checkout, intake forms, engagement with content, feedback, form submissions, or communications); (b) information collected automatically through cookies and similar technologies when you interact with our Sites (subject to consent where required); and (c) information from third-party service providers (for example, payment confirmation from Stripe or purchase records) and analytics providers such as Google Analytics and heat mapping/session replay tools that help us understand how users interact with our Sites. 3. INFORMATION AND ANALYTICS WE COLLECT: The information we collect from visitors to our Sites depends on how you chose to interact with us through the Sites. For example, you may browse the Sites without providing personal information; however, using our full range of services involves providing personal information. Powerhaus Pilates uses this information, only to improve the quality of our services and products.
We use third-party analytics tools, including Google Analytics and heat mapping/session replay tools, to better understand user behavior and improve our Sites. These tools may collect information about how you interact with the Sites, including pages visited, links clicked, scroll behavior, mouse movements, time spent on pages, navigation paths, and general interaction patterns.
Google Analytics may use cookies and similar technologies to collect information about your use of the Sites and generate reports about website activity. Heat mapping and session replay tools may record user interactions in a pseudonymized form to help us identify usability issues and improve functionality. These tools do not intentionally collect sensitive personal information. We configure these tools to avoid recording payment information fields and other sensitive data where technically feasible.
Depending on how you use the Sites, we may collect the following categories of personal information:
Identity Data You Provide. When You sign up for a service that requires registration or payment, We ask you for Personal Information including your name, email address, and billing information and shipping address You chose to share with Us. We also collect information You provide when requesting a service, and this information may, among other things, include personal information or reveal details about your preferences. We typically store and maintain the information collected
User Generated Content: When You post a review, comment on a blog, or share other user generated content across channels, it will be public, accessible and potentially read, collected, and used by anyone.

Third Parties: We obtain information from third parties, including vendors and service providers, who may collect information on our behalf, such as companies who support the Site and Services, including our payment processors, who collect payment information to process your payment in order to fulfill your orders and provide you with products or services you have requested.
Logged Information: We automatically collect and store some information that You do not actively provide, such as your internet protocol (IP) address, software, and hardware attributes such as your browser type, the date and time of your visit, and the last website you visited prior to visiting the Sites. This information is used to enhance the services We provide to You.
Location Data: We collect location data, including your current location as disclosed by GPS technology.

When You visit the Sites, We send one or more cookies (small text files providing information about your interactions with the Services) to your computer that uniquely identifies your browser. Some browsers offer a “Do Not Track” (“DNT”) signal. Because there is not yet a universally accepted standard for how to respond, our Sites may not respond to DNT signals. However, you can manage cookies through your browser settings and (where available) our cookie preferences tool.

HOW WE USE THE INFORMATION WE COLLECT: In general, Powerhaus Pilates uses personal and other information collected through the Sites to fulfill your requests for services, contact you, customize content, and improve our services. More specifically, we use personal and other information as follows:

Provide and Operate Our Services: creating and managing your account; process purchases, subscriptions, refunds, and payments; deliver products/services, and provide customer services; administer programs, courses, and digital content.

Improve, Optimize, and Secure the Sites: perform analytics and user experience improvements; conduct troubleshooting and performance monitoring; prevent fraud, abuse, and security incidents; analyze user interaction patterns using tools such as Google Analytics and heat mapping/session replay software to improve website design, content, and functionality.
Legal and Compliance: complying with law, lawful requests, or legal processes; enforcing terms and protecting rights, safety, and property
Business Transfers: If we are involved in a merger, acquisition, reorganization, bankruptcy, or sale of assets personal information may be transferred as part of that transaction, subject to applicable legal protections.
Complying with the Law: We disclose personal and other information if We have a good-faith belief that the disclosure is reasonably necessary to comply with the law, legal process or an enforceable government request; to enforce applicable terms of use for our services; to detect, prevent or otherwise address illegal activity, fraud, or security issues; or to protect the property or safety of our users, Powerhaus Pilates, or the public as required or permitted by law.
Suppliers: Personal and other information is anonymously shared with our selected suppliers, service providers and partner sites in connection with providing services to you. For example, we may provide such information to third parties in connection with operating and maintaining the Sites, fulfilling your requests for services, processing credit card payments (if applicable), performing business and sales analysis, and offering contests or conducting surveys.
Marketing: we may use your personal data to contact you about our latest news, our products, and/or our Services (as further defined in the Terms and Conditions). you will receive marketing communications from us if you have (1) subscribed to receive marketing communications from us, or (2) purchased our Services and you have not opted out of receiving that marketing when you provide us with your email address. Note: to unsubscribe from marketing emails you may click the ‘unsubscribe’ link at the bottom of any marketing email.
5. LEGAL BASES FOR PROCESSING: Where required by law, we rely on one or more of the following legal bases to process personal information:

We have, in the last 12 months, disclosed the following categories or personal information about users: (a) identifiers such as basic contact details and certain order and account information; (b) personal information categories listed in the California Customer Records statute such as basic contact details and certain order and account information; (c) commercial information such as order information, shopping information, and customer support information; (d) internet or other similar network activity; (e) geolocation data such as locations determined by an IP address.
We have “shared” (as defined by applicable law) personal information over the last 12-months, for the purposes of engaging in advertising and marketing activities, to business and/or marketing partners: (a) identifiers such as name, email address and phone number; (b) commercial information such as records of products or services purchased; and (c) usage data.
7. HOW LONG WE KEEP YOUR PERSONAL DATA: We retain personal information only for as long as reasonably necessary to provide services, comply with legal obligations, resolve disputes, enforce agreements, and protect our business. Retention periods may vary depending on the type of information and applicable laws. In some circumstances (1) you can ask us to delete your data: see ‘your Choices below for further information; or (2) we may anonymize your personal data (so that it can no longer be associated with you) for research or statistical purposes, in which case we may use this information indefinitely without further notice to you.

EMAIL NOTICES: When you register to use Powerhaus Pilates services or by purchasing any products from a vendor using Powerhaus Pilates services, your email will automatically be listed in Powerhaus Pilates mailing list. you will receive welcome information, account information, and other marketing related information related to Powerhaus Pilates services and the products you viewed and purchased. You may also receive periodic emails from us notifying you of new features, products, titles, and other related information for Powerhaus Pilates services.
You may choose to opt out of receiving emails from Powerhaus Pilates, but if you choose to do so, you may not receive technical support requests, account updates and notifications, product updates, security updates or updates to the Terms of Services of Powerhaus Pilates as well as updates to Privacy Policy of Powerhaus Pilates.

We highly recommend that you set a secure password for your registered account with Powerhaus Pilates to ensure others from easily guessing your password.
At any time if you forget your account information, you may log back onto Powerhaus Pilates website and click forgot login on the login area screen, a password reset link will be emailed to you with further steps to reset your account info.
14. FAIR INFORMATION PRACTICES: To be compliant with the Fair Information Practices we will take the following responsive action, should a data breach occur: We will notify the users via in-site notification within seven (7) business days. Where required by law, we will notify affected individuals and regulators without undue delay, which may be sooner than seven (7) days.
We also agree to the Individual Redress Principle which requires that individuals have the right to legally pursue enforceable rights against data collectors and processors who fail to adhere to the law.
